1. Acceptance of Terms

By accessing or using www.newbay-tech.cn (the "Site") or any content, products, or services made available by NewBay Tech (legal entity: Shenzhen Niubei Technology Co., Ltd., "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please discontinue use of the Site and our channels.

2. Description of Our Service

NewBay Tech designs, manufactures and wholesales ticket-redemption arcade machines — including coin pushers (TC-A, TC-B, TC-C), roulette machines and family entertainment-center prize games. Our products are coin-in / ticket-out only and are not designed or configured for cash payout. The Site provides product information, factory videos, and inquiry forms for international B2B buyers. We also publish promotional and educational content on TikTok (@benson.foo5) and our Facebook page.

3. Eligibility & Account Responsibilities

You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction to place an order or submit an inquiry. You agree to provide accurate, current, and complete information when filling out any inquiry, registration, or contact form, and to keep that information updated.

4. Orders, Pricing & Payment

All quotations are provided in writing (email or WeChat) after your inquiry is confirmed. Prices listed on the Site, if any, are indicative reference only and are not offers. Final price, MOQ, payment terms (typically T/T 30% deposit / 70% balance before shipment), and Incoterms are stated in the signed Proforma Invoice (PI). We reserve the right to correct pricing errors and to refuse or cancel any order prior to a confirmed PI.

5. Shipping, Customs & Compliance

Buyers are responsible for any import duties, VAT/GST, customs clearance fees and local compliance in their country of destination, including but not limited to amusement-machine licensing, age-restriction signage, and electrical-safety certification (e.g. CE, UKCA, UL/ETL where applicable). We provide HS codes, commercial invoices, packing lists and certificates (CE/FCC/RoHS where requested) but do not guarantee approval by any local authority.

6. Intellectual Property

All content on the Site and our social channels — including text, graphics, logos, photos, videos, machine designs, software, and the trademarks "NewBay Tech", "Niubei Tech" and product model designations (TC-A, TC-B, TC-C, Lucky Baby 12, Dream Sweetheart Island) — is owned by or licensed to Shenzhen Niubei Technology Co., Ltd. and is protected by applicable copyright, trademark and design laws. You may not copy, reproduce, republish, sell, resell, or commercially exploit any of our content without prior written permission.

7. User-Generated Content

If you submit, post or tag us with photos, videos, reviews, comments or other materials ("User Content"), you grant NewBay Tech a worldwide, non-exclusive, royalty-free, perpetual and irrevocable license to use, reproduce, modify, display and distribute that User Content on our Site, social channels and marketing materials, provided we credit you where reasonable. You confirm you own or have the right to submit the User Content and that it does not infringe any third-party right or violate any law.

8. Prohibited Activities

You agree not to (a) use the Site or our content for any unlawful purpose or to solicit unlawful acts; (b) attempt to gain unauthorized access to any portion of the Site or its systems; (c) probe, scan, or test the vulnerability of the Site or breach any security measures; (d) scrape, crawl, or use automated means to copy content without written permission; (e) submit false inquiries, fraudulent orders, or spam; (f) re-engineer, decompile, or otherwise attempt to derive source code from any software on the Site.

9. Disclaimers

The Site and all content, products, and services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, NewBay Tech disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of content. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall NewBay Tech, its directors, employees, partners, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, goodwill, or business opportunity — arising out of or related to your use of (or inability to use) the Site, our content, or our products, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to us (if any) in the 12 months preceding the claim, or USD 100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless NewBay Tech and its affiliates from any claim, demand, loss, liability, damage or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site or content, or your violation of any law or third-party right.

12. Modifications

We may update these Terms from time to time. The "Last updated" date at the top will reflect the change. Material changes will be notified on the Site or by email where you have an active business relationship with us. Continued use after changes constitutes acceptance.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. Any dispute arising from or related to these Terms shall first be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) Shenzhen Sub-Commission for arbitration in accordance with its then-effective rules. The arbitration award shall be final and binding on both parties.

14. Termination

We may suspend or terminate your access to the Site or our services at any time, with or without cause, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties.
